(referred to hereafter as: “LTR”) that governs your limited, non-exclusive and terminable right to the use of the EasyCookieBox Site and Services as defined herein. By making use of the services, you agree to be bound by the Terms and Conditions of this agreement. 

If You do not agree to these Terms and Conditions, you must not order or buy our products or services and shall not make use of any of the Services or the Site. By agreeing to these Terms and Conditions, you acknowledge that you have read this agreement, understood it, and agree to be bound by its terms and conditions.


These Terms and Conditions govern the use of this website and your purchase and use of the Services. By accepting these Terms and Conditions, either by clicking a box indicating your acceptance or by executing an order form or other document referring to these Terms and Conditions, you agree that these Terms and Conditions form part of the agreement between you and LTR. 

These Terms and Conditions were last updated on October 17, 2018, and are effective between you and LTR as of the date when you place an order or set up an account at EasyCookieBox.com. LTR reserves the right to change these Terms and Conditions from time to time. 

You acknowledge and agree that it is your responsibility to review these Terms and Conditions periodically to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgment and agreement of the modified terms and conditions.

If such changes are considered by LTR to be material, LTR may chose to inform registered customers about the changes by email, and the changes will take effect one month after such email has been sent. Your continued use of our website or services after such changes will constitute acknowledgment and acceptance of the modified Terms and Conditions.

In case of any discrepancies between the wording of our website and these Terms and Conditions, these Terms and Conditions prevail.

These Terms and Conditions, as well as all other texts throughout the website, are translated from English to other languages. These are unofficial translations and are only provided for your convenience. They should, therefore, be interpreted in accordance with their English language version which will prevail in the event of any discrepancy between the English version and the translation. LTR assumes no liability for any errors, omissions or ambiguities in the translations. Any person or entity choosing to rely on the translated content does so at their own risk. When in doubt, please always refer to the official English language version.

Please read these Terms and Conditions carefully before using the Services. These Terms and Conditions (collectively, with LTR' Privacy Policy and Cookie Policy located on this page) apply to all users of the Services. If you are using the Services on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind such organization to these Terms and Conditions and you agree to be bound by these Terms and Conditions on behalf of such organization.

Buying or using LTR products or services implies that the user/customer has both read and accepted these Terms and Conditions. This is also indicated by a mandatory checkbox during registration/purchase of a membership. LTR reserves the right to change or modify current Terms and Conditions without prior notice.

2. The Services

LTR' Services allow you to display a pop-up notification box (the “EasyCookieBox”), that can be used on your website to inform your website visitors (“End Users”) about your website's Privacy Policy and Cookie usage.

The LTR scripts will set one or more cookies on your visitor's device(s) in order to make sure the EasyCookieBox is not shown on each returning visit or subsequent pages the visitor might visit. This cookie falls under the category of Functional Cookies and will not use any personal data. 

LTR is merely the service provider and it is your own responsibility to ensure that your website and organization are compliant with a certain law, regulation or directive, including but not limited to EU’s General Data Protection Regulation (GDPR) and EU’s ePrivacy Directive and local cookie laws.

LTR offers a default, non-customisable EasyCookieBox as well as a set of options for the EasyCookieBox which will result in a somewhat customizable EasyCookieBox. Both services can from time to time be updated to better meet the needs of customers. 

LTR offers a design service to customize the look and feel of the EasyCookieBox displayed on customers' website. 

LTR organizes server resources in a way to provide a high level of service and uptime on the operation of the cloud service.

3. Membership subscriptions

Purchasing a membership will allow you to install a small code snippet that loads the EasyCookieBox scripts from our server. All functionality you get is described on the sales page. In addition, you get access to support regarding payments, refunds, and correctly applied taxes. LTR does not provide support on the implementation of the provided code snippet. 

By purchasing a membership, you agree that:

There is no warranty or in any other way any form of liability on the side of LTR.

LTR reserves the right to offer discounts or permanent price changes at any moment, without prior notice.

The account, the code snippet and the code itself cannot be shared. Sharing or other methods which allow for multiple users to access the Services are strictly forbidden and may result in termination of the account and may have legal consequences.

Standard Membership of EasyCookieBox displays a link to EasyCookieBox.com which is not allowed to be removed. Trying to remove the link to EasyCookieBox.com may result in termination of your account.

Pro membership users are allowed to modify the appearance of the EasyCookieBox as well as hide the link to EasyCookieConsent. 

Membership duration, price, and other limitations are described on the sales page and can be modified without prior notice. 

Your Membership duration and price are locked to your account during purchase and will not be changed during your membership subscription period, but may be changed upon the next renewal. Of course, this will never happen without informing you beforehand.

4. Payments

Payments may be completed through the PayKickstart checkout system using either PayPal or Stripe as payment gateways. We do not store or share any personal information associated with a payment (like Credit Card number, owner or expiration date). Some information available in PayPal or Stripe is securely stored by PayPal and Stripe as part of the transaction history.

A periodic payment will be automatically created in PayKickstart to extend your membership when your initial membership period is over. You can cancel this automatic periodic payment by sending us an email at finance@EasyCookieBox.com before the next renewal date.

The exact price to be charged is calculated automatically using prices from the sales page and provided billing information.

The final charge, including all taxes, will be displayed before the order is made. The amount of VAT, which may be added to the charge, is the corresponding VAT rate of your country over the total billing amount and will be added depending on the location and legal entity of the purchaser. According to the European Union Council Directive 2006/112/EC, the corresponding VAT rate of your country will be added if the purchaser

- is from The Netherlands or
- is from within the European Union and does not have a European VAT ID

Once payment is complete, you will receive a VAT Invoice with LTR company details.

5. Disclaimer

While LTR makes every effort to ensure that the content of this website and its Services is accurate, the website and Services are provided 'as is' and LTR makes no representations or warranties in relation to the accuracy or completeness of the information found on it. While the content of EasyCookieBox.com and its Services is provided with the utmost care and attention, we do not warrant that the information will always be up to date, be true and not misleading, or that this site and our Services will always (or ever) be available for use. This also includes any information related to cookie usage on websites.

We do not warrant that the servers that make this website, the Services and email correspondence available will be error, virus or bug-free and you accept that it is your responsibility to make adequate provision for protection against such threats. We recommend scanning any files before downloading.

6. Warranty

LTR products and services are provided 'as is' without warranty of any kind, either expressed or implied. In no event shall the juridical person of LTR, its owners, suppliers or any of their respective owners, directors, employees, contractors and/or agents be liable to you or any Third Party for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use LTR products or services including, without limitation, those resulting from loss of profit, loss of contracts, goodwill, data, information, income, anticipated savings or business relationships.

We cannot guarantee that our products or services will function with all websites since some website creation services do not allow external JavaScript files to be included. This might result in the incorrect functionality of the Services.

We cannot guarantee that our products or services will not break or disable certain functionality on websites since some websites may cause a conflict to occur when the Services are implemented on it. This might result in the incorrect functionality of the Services and/or website. We highly recommend creating a backup of the website before adding the Services to the website, so that in case of a conflict or broken functionality the website can be restored. This is the expressed responsibility of the website owner/customer. 

LTR is not responsible for any fines users might get for not following EU e-Privacy Directive, EU General Data Protection Regulation (GDPR) or any other laws, directives or regulations. It is the user's own responsibility to make sure his website and organization are compliant with EU e-Privacy Directive and EU General Data Protection Regulation and other laws and regulations and directives. EasyCookieBox is designed to provide necessary technical means for adding the cookie EasyCookieBox message on customer's website and provide a way (if possible) for end-users to disable and block cookies, sometimes after these are already set, should the end-user chose not to consent. It is also the user's own responsibility to make a GDPR compliant Privacy policy and Cookie Policy.

LTR expressly states that it's Services such as EasyCookieBox are NOT GDPR compliant, because they do NOT block cookies before consent is given. Rather they allow for cookies to be disabled after they are set, by means of a free browser extension called Ghostery, which is provided via a link in the EasyCookieBox. 

Though we cannot control all the sites or customers that use LTR, we do not support or allow for use of our products or services on adult or gambling sites or sites with illegal content.

7. Limitation of Liability for Loss or Damage

In conjunction with the Disclaimer and Warranty as explained above, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for use of the Services. LTR, its owners, suppliers or any of their respective owners, directors, employees, contractors and/or agents be liable to you or any Third Party will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damage which may be incurred as a result of using our services, or as a result of any changes, data loss or corruption, cancellation, loss of access or downtime, any incidental, indirect, consequential or special damages of any kind, or any damages whatsoever, including, without limitation, those resulting from loss of profit, loss of contracts, goodwill, data, information, income, anticipated savings or business relationships, whether or not advised of the possibility of such damage, arising out of or in connection with the use of this website or any linked websites or the use of our Services to the full extent that applicable limitation of liability laws apply.

8. Support

All LTR users are eligible to a free support provided by email, but only regarding payments, invoices and applied taxes via finance@EasyCookieBox.com. 

Support on financial matters is always done in English (or Dutch for Dutch customers). For any other languages, support will be in English and an automatically generated translation will be provided for your convenience. However, the English text will always be the official response. 

LTR does not offer support on the implementation of the provided code snippet in the <head> of your site. For this, we suggest doing this yourself, google a solution for your sitebuilder, or asking a tech-savvy friend, a webmaster or hosting provider. 

While LTR makes every effort to ensure high quality and fast support on financial matters, sometimes it can take up to 72 hours to get a reply from LTR Support. In most times during office hours, the user can expect an answer from LTR Support within a few hours.

In case of any bugs/errors found in the Service by users, LTR will try to fix those errors/bugs.

9. Refund policy

LTR offers a full money back guarantee for a period of 30 days after purchase. In the case of a refund, the user’s account will be completely deleted.

In order to get a refund, the customer must contact LTR at finance@EasyCookieBox.com and explain a reason for a refund.

10. Termination

We have the right to terminate your access to any or all of our products and services at any time, without notice, for any reason, including without limitation, breach of these Terms of Service. We may also at any time, at our sole discretion, discontinue the products, website or services or any part thereof without prior notice and you agree that we shall not be liable to you or any third party for any termination of your access to the products, website or services.

You can terminate the subscription to our Services at any moment by sending us an email at finance@EasyCookieBox.com. This will instantly disable the EasyCookieBox on your website. This will not result in a full or partial refund unless you take us up on our money back guarantee within 30 days of initial purchase by sending an email to finance@EasyCookieBox.com.

11. Processor Agreement

LTR does not collect or store any personal data from your website visitors. Therefore there is no need for a Processor Agreement between us. 

12. Copyright & ownership

The customer may not claim intellectual or exclusive ownership to any LTR products or services, modified or unmodified. All products are and remain the property of LTR except where the ownership clearly lies with other parties (such as for third-party libraries). LTR respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact us about the matter.

13. Governing law and dispute resolution

Dutch law applies to this agreement.

Except to the extent determined otherwise by mandatory applicable Dutch law all disputes arising in connection with LTR shall be brought before the competent Dutch court for the principal place of business of LTR B.V.

For any clause in these terms and conditions that demand that a statement must be done “in writing” to be legally valid, a statement by e-mail shall be sufficient provided the authenticity of the sender can be established with sufficient certainty and the integrity of the statement has not been compromised.

The version of any communication of information as recorded by LTR B.V. shall be deemed to be authentic unless you supply proof to the contrary.

In case any part of these terms and conditions are declared legally invalid, this shall not affect the validity of the whole of the agreement. The parties shall in such an event agree on one or more replacement provisions that approximate the original intent of the invalid provision(s) within the limits of the law.

LTR B.V. is entitled to transfer its rights and obligations under this agreement to a third party as part of an acquisition of EasyCookieBox or the associated business activities.

Privacy Policy

PP article 1. Principles

1. The terms used in this Privacy Policy and which are defined in the General Data Protection Regulation (GDPR) have the meaning assigned to them in the GDPR.

2. We only use the personal data for the purposes described in this Privacy Policy. That is legitimate and transparent.

3. We express our Terms and Privacy Policy in clear and clear language and do not attempt to hide information. We are also clear about what data we process and how we do it. That is clear and certain.

4. We only process personal data that we really need. That is data minimization.

5. We are happy to work with you to ensure that the data we process is always correct and up-to-date. That is the accuracy of the data.

6. We do not store the data for longer than necessary. That is the storage period.

7. Both we and our suppliers will endeavor to take appropriate technical and organizational measures with regard to the processing of Personal Data, against loss or against any form of unlawful processing (such as unauthorized inspection, violation, alteration or provision of personal data). We do not guarantee that the security is effective under all circumstances. We will endeavor to ensure that security is met at a level that, in view of the state of technology, the sensitivity of the Personal Data and the costs associated with security, is not unreasonable.

8. We never share the personal data with other parties, inside or outside the EU without good reason. We also ensure proper security of personal data by taking many technical and organizational measures. That is for the integrity and security of the data.

9. We also allow you to exercise your rights regarding your personal data. Your rights are: inspection, correction, limitation, objection, the right to be forgotten and data portability.

10. If you have a complaint about how we or our sub-processors deal with your personal data, we will ask you to discuss this with us first so that we can see if we can solve or adjust this to your satisfaction. If we can not come to that point, you can always file a complaint with the regulator.

11. We do not use automated decision making or profiling. We do use marketing techniques to make specific offers to certain segments of our customers and prospects.

PP article 2. Customer data

Personal data and reasons:

Your IP address
To give you access to our websites 

Name and address details (Name, Address, City, Country)
Necessary for invoicing, identification and customer contact.

Contact details (Email address, Phone number)
To be able to communicate with each other, validate requests and provide support. :-)

Company details (Company name, VAT number)
Necessary for invoicing (eg to defer VAT, if your company is located outside the Netherlands).

Verification details (domain name, pin)
So you can edit your EasyCookieBox Pro.

Payment details (PayPal, Creditcard)
Necessary for collecting (recurring) payments. 
These details are not stored by us or the software we use. These are securely stored by the payment service provider. We use PayPal and Stripe. 

The basis for processing:
Necessary for the implementation of the Agreement.

Storage period:
Up to one month after the termination of the Agreement. We keep your invoices for the legal storage period.

Recipients of the data:
We and some of our sub-processors, such as PayPal, the supplier of our site builder and marketing automation, a number of cloud services that we use internally, including our accounting software and our support software, are recipients or processors of personal data.

Some of these are outside the EU. The main sub-processors located outside the EU (eg PayKickstart) comply with the GDPR, for example, because they fall under the Privacy Shield (USA).

PP article 3. Data from subscribers

Personal data and reasons:
Name
Because we would like to address you with your name in our emails.
E-mail address
So that we can send you interesting, inspiring and constructive emails.
The basis for processing:
Your permission.

Storage period:
Until you withdraw your consent via the link at the bottom of every email we send.

Recipients of the data:
Us and the mailing list and marketing automation tools we use are recipients or processors of personal data. Some of these are based outside the EU and comply with the GDPR because they fall under the Privacy Shield (USA).

PP article 4. Data from website visitors

1. Your IP address
When you visit this site, we process your IP address in our statistics to gain insight into the functioning of our website and to improve it. For this processing, we anonymize your IP address before it is processed by the statistics software. Because of this, it is no longer personal data.

Basis:
Justified interest.

Storage period:
The IP address itself is only very short (less than a day) and the anonymized IP address, which is no longer a personal data, in principle infinite.

Recipients of the data:
We, Duda and Google Analytics, which we have set up privacy-friendly according to the guidelines of the Dutch Data Protection Authority.

2. Necessary Cookies
To gain insight into the functioning of our website and to improve it, to make it easier to log in and to remember what is in your shopping basket. See also our Cookie Policy.

Basis:
Justified interest.

Storage period:
Different for each cookie. For details, see our Cookie Policy.

Recipients of the data:
Us, PayKickstart, and Google Analytics, which we have set up in a privacy-friendly way. 

3. Marketing & tracking Cookies
To tailor our promotions to your interests. To be able to show you embedded videos. To be able to make interesting offers on partner networks.

We and Thrid Parties such as Google, Facebook, and Vimeo.

We are running a business. We are trying to get our solutions into the hands of as many people as possible. And to do that, we need to use all kinds of tools that may require the use of cookies. For example, if we embed a Vimeo video, that video sets cookies. If we show you Social Share buttons, they set cookies. Same goes for Facebook Comments or Messenger Chat. 

We use cookies to gather analytical data and run tests on our website to see which approach, text, visual or video resonates the most with our visitors. That way we can improve your experience and our revenue at the same time. 

We also use remarketing cookies so that after someone has visited our website, we can show them relevant ads and messages on the rest of the internet.
